Terms of Service

Plain language summary: You own your data. We license the software. The free tier is free forever with no catch. If you pay for Pro, you can cancel anytime. We are not liable if you lose your master password — we cannot recover encrypted data.

1. Agreement

These Terms of Service ("Terms") govern your use of the Claspt desktop and mobile applications ("Software") and the claspt.app website ("Website"), provided by Indivar Software Solutions Limited ("we", "us", "our"). By downloading, installing, or using Claspt, you agree to these Terms.

2. The Software

2.1 Free Tier

The Claspt desktop application (macOS, Windows, Linux) is provided free of charge with full functionality: unlimited pages, folders, encrypted secret blocks, themes, full-text search, biometric unlock, and local Git versioning. The free tier has no time limit, no feature degradation, and no account requirement.

2.2 Pro Tier

Claspt Pro is a paid subscription that adds cross-device sync, mobile applications (iOS, Android), secure sharing, and import from third-party vaults. Pro is billed monthly or annually. You may cancel at any time — your subscription remains active until the end of the billing period, after which you revert to the free tier with full local functionality retained.

2.3 Trial

New users receive a 14-day trial of Pro features. No credit card is required. After the trial, you keep the free desktop version with all local features.

3. Your Data and Ownership

3.1 You Own Your Data

All content you create, store, or import into Claspt remains your property. We claim no ownership, license, or interest in your vault contents. Your data is stored as standard files on your local filesystem — you can access, copy, move, or delete them at any time using any file manager.

3.2 No Lock-In

Claspt vaults use standard markdown files and a documented encryption format. You are never locked into the Claspt application. Unencrypted content (markdown notes, folder structure) is immediately usable in any markdown editor.

3.3 Encryption Responsibility

Claspt uses zero-knowledge encryption. We do not have access to your master password or encryption keys. If you forget your master password and have not configured biometric unlock, your encrypted data is permanently inaccessible. We cannot assist with password recovery for encrypted data. You are solely responsible for maintaining access to your master password and any backup recovery methods.

4. Acceptable Use

You agree not to:

  • Reverse-engineer, decompile, or disassemble the Software, except as permitted by applicable law
  • Redistribute, sublicense, or resell the Software
  • Use the Software for any activity that violates applicable law in your jurisdiction
  • Attempt to circumvent licensing mechanisms or subscription verification
  • Use automated systems to abuse the Claspt relay, sharing service, or update infrastructure

5. Intellectual Property

The Claspt name, logo, visual design, and source code are the intellectual property of Indivar Software Solutions Limited. These Terms grant you a non-exclusive, non-transferable, revocable license to use the Software for personal or professional purposes in accordance with the applicable tier (Free or Pro).

6. Third-Party Services

When you use self-managed sync (Git remotes, WebDAV, SFTP), you are interacting with third-party infrastructure. Claspt is not responsible for the availability, security, or privacy practices of your sync provider. When you use cloud storage providers (iCloud, Google Drive, Dropbox) for sync, their terms of service apply to the storage of your encrypted files.

7. Disclaimers

7.1 No Warranty

The Software is provided "as is" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Software will be error-free, uninterrupted, or free of security vulnerabilities.

7.2 Encryption Disclaimer

While we employ industry-standard encryption algorithms (AES-256-GCM, Argon2id) and follow best practices, no encryption system can guarantee absolute security. The Software has not been independently audited by a third-party security firm as of the date of these Terms. Use the Software at your own risk for the storage of sensitive information.

7.3 Data Loss

We are not responsible for data loss resulting from hardware failure, accidental deletion, lost master passwords, or any other cause. You are responsible for maintaining backups of your vault data.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Indivar Software Solutions Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from your use of the Software, regardless of the cause of action or the theory of liability. Our total liability for any claim arising from these Terms or your use of the Software shall not exceed the amount you paid for Claspt Pro in the 12 months preceding the claim.

9. Termination

You may stop using Claspt at any time by uninstalling the Software. We may terminate or suspend your access to Pro features if you violate these Terms. Upon termination, your local vault data remains on your device — we do not have the ability to delete local files. Encrypted data on the Claspt relay, if any, will be deleted within 30 days of account termination.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of New Zealand, without regard to conflict of law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of New Zealand.

11. Changes to Terms

We may update these Terms from time to time. The date of the last update is noted at the top of this page. Continued use of the Software after changes constitutes acceptance. For material changes, we will provide notice through the Website or within the application.
